End User Software License Agreement

This End User Software License Agreement (the EULA) is a legal agreement between you and Magnetron for the use of Magnetron software and related downloadable products provided by us.

By downloading, installing, activating, or using the software, you agree to this EULA. If you do not agree, do not install or use the software.

1. License Grant

Subject to this EULA, Magnetron grants you a limited, non-exclusive, non-transferable license to install and use the software in accordance with the license type you purchased or received.

2. Evaluation Use

If a trial or evaluation version is offered, you may use that version only for evaluation during the permitted trial period. Evaluation versions may include technical or commercial limitations and may not be used beyond the permitted evaluation scope.

3. Full License Use

If you purchase a full license, you may use the software according to the license terms presented at the time of purchase. Unless otherwise stated, a single-user license permits use by one user on one device at a time.

4. Restrictions

You may not, unless applicable law allows it despite this limitation:

copy, rent, lease, sublicense, resell, or distribute the software except as expressly permitted by us;
reverse engineer, decompile, disassemble, or attempt to extract source code;
remove copyright notices, license keys, or technical protection measures;
use the software in violation of any applicable law or third-party right.

5. Ownership

The software is licensed, not sold. Magnetron and its licensors retain all intellectual property rights, title, and interest in and to the software, documentation, branding, and related materials.

6. Updates and Changes

We may provide updates, patches, or upgrades at our discretion. Some updates may be required for continued functionality, compatibility, or security.

7. Support

Any support we provide is offered at our discretion unless separate written support terms apply.

8. Termination

This EULA remains in effect until terminated. It terminates automatically if you materially breach its terms. Upon termination, you must stop using the software and delete or destroy all copies in your possession or control.

9. Disclaimer of Warranties

To the fullest extent permitted by law, the software is provided as is and as available, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, Magnetron will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity arising from or related to the use of, or inability to use, the software.

Where liability cannot be excluded, our total liability will be limited to the amount you paid for the relevant software license.

11. Governing Law

This EULA is governed by the laws of the Netherlands, excluding conflict of law principles.
